The parts that matter most

This box is a summary to help you find the important points. The full Terms below are what apply.

  • Your recordings and your information. If you practise with the microphone, your recording is uploaded and stored for 183 days. You give us permission to use your recordings, results and practice information to run Perpetuoso and to improve it (Section 6).
  • Our software and music belong to us. You may use Perpetuoso for your own practice. You may not copy it, extract it, scrape it, reverse engineer it, or use it or its output to build a competing product or train a model (Section 7 and Section 8).
  • Age. You must be 13 or older, and if you are under 18 a parent or guardian must agree too (Section 2).
  • Disputes. Most disputes are decided by individual arbitration, not in court and not as a class action. You can opt out within 30 days (Section 16).

1. Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and LoopScreen LLC, which operates Perpetuoso (“Perpetuoso”, “we”, “us” or “our”). They govern your access to and use of the Perpetuoso website at perpetuoso.app, the Perpetuoso practice app, the music and assessments they produce, and any related tools for teachers (together, the “Service”).

You agree to these Terms and to our Privacy Policy, which is part of them, when you create an account, when you tick the box that says you agree, when you sign in after we have shown you these Terms, or when you otherwise access or use the Service. If you do not agree, do not use the Service.

If you use the Service on behalf of a studio, school or other organization, you confirm that you have authority to bind it, and “you” includes that organization.

We keep a record of the version of these Terms that you agreed to, the time you agreed, and the exact wording you saw when you agreed. Some features have additional terms, such as the plan terms shown at checkout. Those additional terms are part of this agreement for that feature, and if they conflict with these Terms they control for that feature.

2. Who can use Perpetuoso

You must be at least 13 years old to have an account. We do not knowingly allow children under 13 to use the Service. If we learn that someone under 13 has an account, we may pause or close it and delete the information we hold about them, as explained in the Privacy Policy.

If you are under 18 (or under the age of majority where you live), you may use the Service only if a parent or legal guardian has read these Terms and the Privacy Policy and agrees to them on your behalf. That person accepts responsibility for your use of the Service. Joining a teacher’s studio can need a separate approval from your parent or guardian (Section 9).

The Service is operated from the United States, and your information is processed there. If you use it from somewhere else, you are responsible for following the local laws that apply to you.

You may not use the Service if we have suspended or removed you from it, or if the law forbids you from receiving it.

3. Your account

  • You will give us accurate information when you register and keep it up to date.
  • An account is for one person. You will not share your sign-in details or let anyone else use your account.
  • You are responsible for keeping your password and any sign-in method you use secure. Use a strong password that you do not use anywhere else, and consider turning on two-step sign-in. You are responsible for everything done through your account unless you have told us promptly that it was used without your permission.
  • Some features need a verified email address.
  • An invitation link or gift is personal. It may be tied to a particular email address, and you may not sell it, transfer it or publish it.
  • If you sign in with Google, Google’s own terms also apply to that sign-in, and we receive your name and email address from Google as described in the Privacy Policy.
  • We may limit or suspend an account if we reasonably believe it is needed to protect the Service, other people, or you.
  • We may send you messages about the Service, such as email verification, password resets, security alerts and notices about these Terms.

4. Free access, trials and paid plans

Free access

We may offer access free of charge, for example during a pilot, through an invitation or gift, or as a free trial (currently 14 days for a new account). Free access has an end date that is shown in your account. It does not renew into a paid plan on its own, and no payment details are needed to start it. We may change or end free access as described in Section 12. Trials are for new customers, one per person.

Free plan

When a trial, other free access or a paid plan ends, your account moves to a free plan instead of closing. The free plan has daily limits, currently 4 new sight-reading scores and 4 flashcards a day, and it does not include every feature of a paid plan. It costs nothing and needs no payment details. We count the limits against your account, and they reset once a day. We may change the limits or what the free plan includes, or stop offering it, as described in Section 5 and Section 12.

Paid plans

We plan to offer paid plans, Individual, with Studio coming soon, at the prices and with the features shown on our pricing page or at checkout. Until a plan is shown as available to buy, nothing on the Service can be purchased and nothing will be charged to you.

When a paid plan is available, the following applies, together with the details shown at checkout:

  • Before you pay, checkout will show the price, the billing period, whether the plan renews automatically, any trial and when the first charge will happen, and how to cancel. We will ask for your clear agreement to those terms before we charge you.
  • If you add a payment method during a free trial, your first charge happens when the trial ends, and you can cancel before then to avoid it.
  • A paid plan renews automatically at the end of each billing period at the then-current price until you cancel. You can cancel at any time from your account or by writing to us. Canceling stops future charges, and your plan stays active until the end of the period you have already paid for.
  • Payments are handled by our payment provider, Stripe. We do not receive or store your card number.
  • Prices are in US dollars and exclude taxes unless checkout says otherwise. You are responsible for applicable taxes.
  • Fees are not refundable except where the law requires it, where checkout says otherwise, or where we decide to give a refund. If we end the whole Service, we will refund fees you have paid for any period after it ends.
  • We may change prices or plan features. For a plan you have already bought, a change takes effect at your next renewal and we will tell you at least 30 days beforehand.
  • If a payment fails, we may suspend the paid features until it is fixed.

Canceling a plan or ending a trial does not delete your account or your information. Your recordings are deleted on the schedule in the Privacy Policy.

5. What Perpetuoso does and does not promise

What the Service does

Perpetuoso generates original piano music for sight-reading practice, listens to your playing through a microphone or a MIDI keyboard, estimates the notes you played, grades the take, and adjusts what it gives you next.

Estimates, not guarantees

Assessments, grades, levels and suggestions are automated estimates. Transcribing sound is imperfect and can be wrong, especially with background noise, an out-of-tune instrument or poor equipment. They are for practice guidance only. We do not promise any particular improvement, exam result or outcome.

Not professional advice

Perpetuoso does not replace a qualified teacher, and it does not give medical advice. Practise sensibly, take breaks, stop if you feel pain or discomfort, and keep sound at a safe volume. You play at your own risk.

Your equipment

You need a compatible device, browser, internet connection, and a microphone or MIDI keyboard, and you must allow your browser to use them. You are responsible for your own equipment and for any data charges.

Changes and availability

We may add, change, suspend or remove features, content or limits, including free ones. Pilot and early features may be unfinished or may change. We do not promise that the Service will always be available or error free, and we may take it offline for maintenance. We also apply fair-use limits, such as the number and length of recordings you can upload and how quickly you can make requests, to keep the Service working for everyone.

6. Your recordings and your content

What “Your Content” means

“Your Content” means the recordings you make, the practice information you create, the text you write (such as reflections, notes and feedback), the information you give us, and the results the Service produces from your playing, such as note estimates, grades and history.

You keep your rights

As between you and us, you keep ownership of your recordings of your own playing and of the text you write. Nothing in these Terms transfers that ownership to us. The pieces that Perpetuoso generates for you are covered by Section 7.

The permission you give us

You give Perpetuoso a worldwide, non-exclusive, royalty-free, fully paid-up license, which we may transfer to a successor and sublicense to the service providers that help us run the Service, to host, store, copy, transmit, analyze, transcribe, process, adapt and otherwise use Your Content, and to create derivative works and data from it:

  1. to provide, secure, support and personalize the Service for you, and to share Your Content with a teacher you choose to connect with;
  2. to maintain, evaluate, test, debug, develop, train, tune and improve the Service, including our methods for transcribing and grading playing, estimating level, and choosing and composing music, in the ways described in the Privacy Policy;
  3. to comply with the law and to protect our rights, the Service and other people; and
  4. to create de-identified or aggregated information, which we may use for any lawful purpose.

This permission lasts for as long as we hold Your Content, including in backups. Because improvements to our systems and de-identified or aggregated information cannot practically be separated from the data they came from, the permission continues for those after you leave. We do not sell Your Content, we do not use your recordings for advertising, and we do not let anyone else use your recordings for their own purposes.

Your consent to recording

When you record with your microphone and finish a take, the recording is uploaded to our servers and stored as described in the Privacy Policy, including for 183 days. By recording, you consent to this. If you do not consent, use a MIDI keyboard or choose not to record.

A recording is raw audio and can capture sounds other than your playing, including speech. Record only when you are alone, or when everyone who can be heard has agreed and it is lawful for you to record them. You are responsible for following the recording laws that apply to you.

What you promise about Your Content

You promise that you own Your Content or have the right to give us the permission above, that it does not break the law or anyone’s rights, and that it does not include other people’s personal information. Please do not put sensitive information, such as health or financial details, into free-text fields such as reflections and feedback.

Feedback

If you send us ideas or suggestions, we may use them without limit and without owing you anything.

Removal

We may remove content that breaks these Terms or the law. Audio is kept for 183 days and then deleted.

7. Our intellectual property

What we own

Perpetuoso and its licensors own all rights, title and interest in the Service, including:

  • the software, in source and object form, and the scripts, bundles, assets and data that we run on our servers or deliver to your browser;
  • the methods, rules, algorithms and parameters that compose and generate music;
  • the methods that transcribe, grade, score, rate difficulty and adapt practice;
  • models and their weights, subject to the licenses of third-party components;
  • the structure, selection and arrangement of the Service and its content, and its interfaces, designs, text, graphics, sounds, databases and documentation; and
  • the name Perpetuoso and our logos and other marks.

Together these are the “Perpetuoso Materials”. They are protected by copyright and other laws, and the parts that are not delivered to your browser are also our confidential information and trade secrets. We reserve every right that these Terms do not expressly give you.

Your license to use the Service

Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service in your browser for your own non-commercial music practice or, if you are a teacher, to teach your own students with the teacher features. Software that we deliver to your browser is licensed to you only so that it can run the Service on your device for that purpose. Having it on your device does not give you any right to copy, extract, reuse or redistribute it. This license ends when your access ends.

Pieces

The music, notation and audio that the Service generates for you (“Pieces”), and the free example Pieces on our website, are created by our software. As between you and us, Perpetuoso owns the Pieces and every right in them that exists under the law.

We give you a personal, non-exclusive, non-transferable, revocable license to view, play, print, download and perform Pieces that were generated for you or that we publish as free examples, for your own practice and study, for private non-commercial teaching (including a teacher’s teaching of their own students), and for non-commercial performance.

You may not sell, license, publish, post, distribute or otherwise commercially exploit Pieces, alone or in collections. You may not copy Pieces in bulk, compile them into a library or dataset, or use them to train, evaluate or improve any machine-learning model.

Some Pieces contain our own harmonizations of public-domain melodies, such as chorale tunes. Nothing in these Terms limits your right to use those underlying public-domain melodies themselves. Because Pieces are generated automatically, the same Piece can be generated for different people, and we do not promise that a Piece is unique to you.

Our name and logos

You may not use our names, logos or other marks without our written permission, except to refer to the Service accurately.

Third-party components

Parts of the Service are made with third-party open-source software that is licensed on its own terms, listed in Section 20. Those licenses govern those components, and nothing in these Terms limits the rights they give you.

Reporting infringement

If you believe that something on the Service infringes your copyright or other rights, write to hello@perpetuoso.app with enough detail for us to find it and a statement of your rights.

8. What you may not do

You agree that you will not, and will not help or allow anyone else to, directly or indirectly:

  1. copy, reproduce, modify, translate, adapt, distribute, publish, sell, sublicense, lease, rent or create derivative works of any part of the Perpetuoso Materials, including any code, scripts, bundles, assets, models, data, music-generation logic or grading logic, whether it is delivered to your browser or otherwise reachable;
  2. reverse engineer, decompile, disassemble, deobfuscate, decode or otherwise try to extract source code, model weights, algorithms, rules, parameters, training data, or the underlying structure or ideas of the Service, or save, mirror or repackage the code or files that run in your browser;
  3. scrape, crawl, harvest, mine or systematically download or request Pieces, pages, assessments or any other content, or use bots, scripts or other automated means to use the Service, other than a normal web browser, assistive technology you use for access, and search-engine crawlers that follow our robots.txt file;
  4. use the Service, the Pieces, or any output of or information from the Service to build, train, fine-tune, test, benchmark, validate or improve a competing product, service, dataset or machine-learning model;
  5. frame the Service, present it as your own, or use it to provide a service to others, unless these Terms or a plan expressly allow it;
  6. circumvent, disable or interfere with any technical protection, rate limit, upload limit, trial limit, free plan limit, age check or access control;
  7. create more than one account for yourself to get more free access, or to get around a suspension or a limit;
  8. sell, resell, share or sublicense access to the Service or to an account;
  9. probe, scan or test the Service for vulnerabilities, overload it or disrupt it, or access information that is not yours, without our written permission;
  10. upload malicious code or anything else intended to damage or gain unauthorized access to the Service or to another person’s device or data;
  11. break the law or anyone’s rights, or harass, threaten or defraud anyone, through the Service;
  12. record, upload or share anyone else’s voice, performance or personal information without their permission;
  13. pretend to be someone else, or give false information about your identity or age; or
  14. remove or hide any copyright, trademark or other notice on the Service.

Exceptions

Items (a) and (b) do not apply to a third-party component to the extent its open-source license gives you that right (see Section 20), and item (b) does not apply to the extent that applicable law gives you a right to do something that this Section would otherwise prohibit and does not allow that right to be waived by contract.

Reporting security problems

If you find a security problem, please report it to hello@perpetuoso.app and give us a reasonable time to fix it before you share it. We will not take action against people who find and report problems in good faith, do not access, change or keep other people’s data, and do not disrupt the Service.

What we may do

If you break this Section or Section 7, we may investigate, remove content, suspend or end your access immediately, and take legal action. The harm from misuse of the Perpetuoso Materials may be hard to repair with money, so you agree that we may ask a court for an injunction or other fair relief against an actual or threatened breach, without having to post a bond or prove actual damages, in addition to every other remedy we have.

9. Teachers, studios and students

If you are a teacher

  • You are responsible for the people you invite. You must have their permission, and for a student under 18 you must have their parent’s or guardian’s as well. You must not invite anyone under 13.
  • Teacher features are available only to accounts we have approved for teaching, and they may be changed or removed.
  • You will use what you can see about a student only to teach that student, and in line with the law. You will keep anything you export or write down about a student secure, and delete it when you no longer need it or when the student or their parent or guardian asks.

If you are a student

  • You decide whether to join a studio. A teacher you connect with can see when and what you practise and can hear your recordings with their grades. The Privacy Policy lists exactly what a teacher can see.
  • You can leave a studio at any time from your account. The teacher’s access to your practice and recordings stops immediately, and your own history stays with you. Anything a teacher had already exported or written down is then outside our control.
  • If a studio pays for your access, that access ends when the studio’s sponsorship ends.

Our role

We provide the tools. We are not a party to the relationship between a teacher and a student, and we are not responsible for a teacher’s conduct.

10. Third-party services

The Service uses and links to services run by others, such as Google (for sign-in, a check that sign-ups come from people, and website analytics), Stripe (for payments) and our email and hosting providers. Their own terms and privacy policies apply to your use of them, and we are not responsible for them. The Privacy Policy lists the providers that handle your information for us.

11. Privacy

Our Privacy Policy explains what we collect, how we use and share it, and how long we keep it. By using the Service you confirm that you have read it, and you consent to the collection, use and sharing it describes, including uploading and storing your recordings and using your information to improve Perpetuoso. Where the law requires a separate consent for something, we will ask for it separately.

12. Ending your access

You

You may stop using the Service at any time. To close your account, write to hello@perpetuoso.app.

Us

We may suspend or end your access, with notice where we reasonably can, if you break these Terms or the law, if we reasonably believe your use creates risk or harm for the Service or others, if a payment fails, if the end date of a pilot, gift, trial or sponsorship arrives, if your account has been inactive for a long time, or if we are required to by law. We may also stop providing the Service altogether, and we will give reasonable notice if we do.

What happens next

Your license to use the Service ends. We handle your information as the Privacy Policy describes. Sections that by their nature should continue will continue, including Section 6, Section 7, Section 8, Section 13 to Section 16, and Section 19.

13. Disclaimers

THE SERVICE AND ALL PERPETUOSO MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED AND STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR FREE, THAT ANY ASSESSMENT, GRADE OR SUGGESTION WILL BE ACCURATE, THAT ANY PIECE WILL BE SUITABLE FOR YOU, OR THAT YOU WILL IMPROVE.

Some places do not allow some of these disclaimers, so some of them may not apply to you.

14. Limits on our liability

TO THE FULLEST EXTENT THE LAW ALLOWS, PERPETUOSO, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHATEVER THE THEORY OF LIABILITY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS ($100).

These limits do not apply to liability that the law does not allow to be limited, including liability for death or personal injury caused by negligence, for fraud, or for willful misconduct. Some places do not allow some of these limits, so some of them may not apply to you. The limits are a basic part of the bargain between you and us, and the Service would be priced differently without them.

15. Your responsibility for claims

To the fullest extent the law allows, you will defend, indemnify and hold harmless Perpetuoso and its members, officers, employees and contractors from claims, losses, liabilities and expenses (including reasonable legal fees) arising out of your breach of these Terms, Your Content, or your violation of the law or of anyone’s rights. We will tell you promptly about any claim we want you to cover, and we may take control of the defense at your cost. If you are under 18, this Section applies to the parent or guardian who agreed to these Terms on your behalf.

16. Resolving disputes

Please read this Section carefully. It requires disputes to be resolved by individual arbitration, not in court and not as a class action, unless you opt out.

Talk to us first

Most concerns can be solved quickly. Before starting a formal claim, write to hello@perpetuoso.app with your name, your account email and a description of the problem and what you want. Give us 30 days to try to resolve it.

Binding individual arbitration

Except for the matters listed under “What is not arbitrated”, any dispute, claim or controversy between you and us that arises out of or relates to these Terms, the Service or our privacy practices (a “Dispute”) will be decided by final and binding arbitration instead of in court. A single arbitrator will decide it under the Consumer Arbitration Rules of the American Arbitration Association (“AAA”) that are in effect when the arbitration starts, which you can read at adr.org. The Federal Arbitration Act governs this Section.

The arbitration will be held by video or telephone, or in person only if the arbitrator orders it, at a reasonable place near you. The arbitrator can award the same individual relief that a court could, and must follow these Terms. We will pay the arbitration fees and costs that go beyond what you would have paid to file a lawsuit in court, unless the arbitrator finds your claim to be frivolous.

What is not arbitrated

  • Either of us may bring an individual claim in small-claims court if it qualifies.
  • Either of us may ask a court for an injunction or other fair relief to stop an actual or threatened infringement or misuse of intellectual property or confidential information, including a claim under Section 7 or Section 8.

No class actions

To the fullest extent the law allows, you and we may bring a Dispute only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine the claims of more than one person. If this waiver is found unenforceable for a claim or a kind of relief, then that claim or relief, and only that, will be decided in court and the rest will be arbitrated, with the court case paused until the arbitration ends.

Court cases

If a Dispute is heard in court for any reason, you and we each waive any right to a jury trial, to the fullest extent the law allows.

You can opt out

You may opt out of arbitration and the class waiver within 30 days after you first accept these Terms. To do so, email hello@perpetuoso.app with your name, your account email and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Governing law and courts

These Terms and every Dispute are governed by the laws of the State of Utah and applicable United States federal law, without regard to conflict-of-law rules. For any Dispute that is not arbitrated, you and we submit to the exclusive jurisdiction of the state and federal courts located in Utah, and waive any objection to that venue. If the law of the place where you live gives you a right to bring a claim there that a contract cannot take away, that right is not affected.

If this Section does not work

If any part of this Section other than the class waiver is found unenforceable, the rest still applies. If the whole arbitration agreement is found unenforceable, Disputes will be decided in the courts described above. If we change this Section in the future, you may opt out of the change within 30 days after we tell you, in the same way. This Section continues after your account ends.

17. Changes to these Terms

We may update these Terms. For a material change, we will tell you at least 30 days before it takes effect, by email to the address on your account or by a notice in the Service, and we will update the effective date at the top of this page. A change needed to add a feature, to keep the Service secure or to follow the law can take effect sooner.

If you keep using the Service after a change takes effect, you accept it. For a material change we may ask you to accept the new Terms again with a button or a checkbox, and you may not be able to use the Service until you do. If you do not agree, stop using the Service. A change does not apply to a Dispute that began before it.

18. Electronic communications and notices

You agree that we may give you notices electronically, by email to the address on your account, by a message in the Service, or by posting on our website, and that these satisfy any legal requirement that a notice be in writing. You consent to using electronic signatures and records for these Terms, including your agreement by checkbox or button. To give us notice, write to hello@perpetuoso.app.

19. General terms

  • The whole agreement. These Terms, the Privacy Policy and any additional terms for a feature are the whole agreement between you and us about the Service, and replace earlier understandings about it.
  • If part is invalid. If a part of these Terms is found unenforceable, it is limited as little as needed and the rest continues.
  • No waiver. If we do not enforce a part of these Terms straight away, we have not given it up.
  • Transfers. You may not transfer your rights or duties under these Terms without our written consent. We may transfer ours, for example in a merger, an acquisition or the sale of the Service.
  • Events beyond our control. We are not responsible for a failure or delay caused by something beyond our reasonable control.
  • No one else has rights. These Terms do not give rights to anyone who is not a party to them.
  • Export and sanctions. You will not use the Service in breach of United States export-control or sanctions laws, and you confirm that you are not on a United States restricted-party list.
  • How to read these Terms. Headings are for convenience. “Including” means “including without limitation”. These Terms are written in English, and an English version controls over any translation.

20. Open-source and third-party notices

Perpetuoso is built with open-source software. The main components that run in your browser are listed here with their licenses. Each component is licensed to you under its own license, not under these Terms, and none of these Terms limits your rights under those licenses. This list is not complete, and we will give you a full list on request.
